Niki7 Terms and Conditions

These Terms and Conditions ("Terms") are effective and binding on you as soon as you commence interaction with the Niki7 website, platform, or services.

By registering for an account, accessing, or using the Niki7 platform, website, any content published by Niki7 on social media, or any related services (collectively, the "Services"), you, the "User," agree to be bound by these Terms and our Privacy Policy (which is incorporated herein by reference). If you do not agree to these Terms, you must not access or use the Services.

"User" refers to any individual who has registered for an account with Niki7.

"Niki7," "we," "us," or "our" refers to the operators of the Niki7 platform.

You must be at least eighteen (18) years of age to use the Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Niki7 is an AI-powered news intelligence platform designed to assist Users in analyzing financial news. Key features include:

• Data Aggregation: Gathering publicly available media content.

• AI-Powered News Quality Scoring: A proprietary, "black-box" algorithm scores the perceived quality of news articles as an indicator. This is not a guarantee of factual accuracy.

• AI-Curated Trending Topics: Identification and AI-generated summaries of trending news.

• Asset-Specific Intelligence Pages: Dedicated pages with news narratives, sentiment analysis, and extracted information for specific assets.

• Information Extraction: AI extraction of mentions of "Price Predictions," "Upcoming Events," "Future Predictions/Market Forecasts," "Risk Relevant" Information, and "Fundamental Insights" *as reported in news articles*. Niki7 is *reporting* on what is found in the news, not generating this information originally or endorsing it.

• AI-Generated Summaries: Concise summaries of news articles.

• Sentiment Analysis: Various forms of sentiment analysis derived from news content.

• Intelligent Chat ("Ask Bar"): An AI research assistant that formulates answers based solely on information from selected news articles.

Niki7 reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, due to the dynamic nature of a startup environment. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.

Registration Required:

Access to the Services, including during any "Early Access" phase, requires User registration.

Accurate Information:

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Confidentiality:

You are responsible for safeguarding your account password and any other credentials used to access the Services. You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities.

No Account Sharing:

Accounts are for individual User use only. You agree not to share your account credentials or access with any other person.

Unauthorized Use:

You agree to notify Niki7 immediately of any unauthorized use of your account. Niki7 is not liable for any loss or damage arising from your failure to comply with these security obligations.

Privacy Policy:

Your use of the Services is also governed by our Privacy Policy, which details how we collect, use, and disclose your information.

"Ask Bar" Queries:

Queries submitted to the "Ask Bar" will be stored as long as your account is active. We use these queries for service improvement and personalization.

Analytics Data:

You acknowledge and agree that Niki7 will collect usage data and platform analytics. Beyond standard cookie consent mechanisms, there are no opt-out mechanisms for this data collection.

Feedback:

If you provide Niki7 with any feedback, suggestions, improvements, or ideas related to the Services ("Feedback"), you hereby grant Niki7 a worldwide, perpetual, irrevocable, royalty-free, sublicensable right and license to use, copy, disclose, license, distribute, and exploit such Feedback in any manner without any obligation, payment, or restriction based on intellectual property rights or otherwise. All Feedback is considered non-confidential and non-proprietary.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.

• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by Niki7, may harm Niki7 or Users of the Services or expose them to liability.

• Use any robot, spider, scraper, or other automated means or any non-human interaction to access or extract information from the Services for any purpose without our express written permission.

• Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Services, including the AI models.

• Copy, modify, distribute, sell, lease, or otherwise exploit any part of the Services or Niki7 Content (as defined below) except as expressly permitted by Niki7.

• Use the Services to build a competitive product or service.

• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

• Use the Services for any form of market manipulation or illegal activities.

Niki7 reserves the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

Niki7 IP:

The Services, including the platform software, AI algorithms (quality scoring, summarization, extraction, sentiment analysis models), design, branding, logos, and all AI-generated content such as summaries, compiled insights as presented, sentiment scores, and Ask Bar responses ("Niki7 Content"), are the exclusive property of Niki7 and its licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License:

Subject to your compliance with these Terms, Niki7 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Niki7 Content solely for your personal, non-commercial informational purposes.

Third-Party IP:

Original news articles and other third-party content aggregated or linked to by the Services belong to their respective publishers or owners. Niki7 uses this content for analysis, extraction, and display of snippets/summaries, typically under principles of fair use or by aggregating publicly available information. Niki7 provides links to original sources where feasible.

Restrictions:

You may not use the Niki7 name, logo, or trademarks without prior written consent, though no specific restrictions are in place for general reference at this time, Niki7 reserves all rights to its brand.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, AND PRODUCTS INCLUDED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

• NO INVESTMENT ADVICE: NIKI7 IS NOT A FINANCIAL ADVISOR, BROKER, OR DEALER AND DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, TAX, OR ANY OTHER PROFESSIONAL ADVICE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NIKI7, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

NIKI7'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU HAVE PAID TO NIKI7 FOR USE OF THE SERVICES IN THE LAST SIX (6) MONTHS (IF APPLICABLE).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Niki7, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of Niki7 Content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.

Early Access:

The Services may be offered under an "Early Access" program, the terms of which may be communicated separately.

Future Freemium Model:

Niki7 plans to operate on a freemium model. This may include a free tier with basic access and limitations, and premium tiers with advanced features for a subscription fee. Specific terms related to subscription fees, payments, renewals, and cancellations for premium services will be provided at the time such services are offered and will form part of these Terms.

Niki7 reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice, typically by posting the updated Terms on the Niki7 website on the Terms and Conditions page. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.

Term:

These Terms will remain in full force and effect while you use the Services.

Termination by User:

You may terminate your agreement with Niki7 by ceasing to use the Services and requesting the deletion of your account and associated data by contacting us at [email protected].

Termination by Niki7:

Niki7 may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for such termination may include, but are not limited to, (a) a breach of these Terms; (b) engagement in illegal activities; (c) non-payment of fees for premium services (if applicable); (d) requests by law enforcement or other government agencies; (e) discontinuance or material modification of the Services; or (f) unexpected technical or security issues or problems.

Survival:

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers (Section 8), indemnity (Section 10), limitations of liability (Section 9), governing law and dispute resolution (Section 14), and intellectual property rights (Section 7). Upon termination, your right to use the Services will immediately cease.

Governing Law:

These Terms and any dispute or claim arising out of, or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of Dubai, United Arab Emirates without giving effect to any choice or conflict of law provision or rule.

Dispute Resolution:

• Informal Negotiation: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and Niki7 agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other.

• Binding Arbitration: If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except for Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") or another established alternative dispute resolution provider mutually agreed upon by the parties. The arbitration shall take place in Dubai, United Arab Emirates. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

• Waiver of Class Actions: YOU AND NIKI7 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

• Exceptions to Arbitration: You and Niki7 agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of your or Niki7’s intellectual property rights; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

Litigation:

If arbitration is not permitted by applicable law or if the exceptions above apply, any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of Dubai, United Arab Emirates in each case located in Dubai, United Arab Emirates. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Niki7 regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

Severability:

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

No Waiver:

No waiver by Niki7 of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Niki7 to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment:

You may not assign or transfer these Terms, by operation of law or otherwise, without Niki7’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Niki7 may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Headings:

The section titles in these Terms are for convenience only and have no legal or contractual effect.
